a formal letter stating what someone intends to do. A letter of intent is not a promise or a contract, but does show a serious intention to do something:

• The firm had signed a binding letter of intent (= one that counts in law as a formal agreement ) to buy the chain of stores.

• They had only signed a non-binding letter of intent (= one that does not count in law as a formal agreement ) .
